Terms of Service ("Terms")

Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the CallCow application (the "Service") operated by Toronto Technology Brothers Inc. ("us", "we", or "our").

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service. By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

Accounts

When you create an account with us, you must provide accurate, complete, and up-to-date information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. You must notify us immediately of any breach of security or unauthorized use of your account.



Communication

By registering via your email and / or phone number, you give us permission to send you email / text / calls for notification / commnication purposes. You can opt out of the communication anytime by deleting your account.



Content

Our Service allows you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are responsible for the Content that you post on or through the Service, including its legality, reliability, and appropriateness. By posting Content on or through the Service, you grant us the right to view such Content on and through the Service. You retain any and all of your rights to any Content you submit, post, or display on or through the Service and you are responsible for protecting those rights.



Prohibited Uses

You may not use the Service for any illegal or unauthorized purpose. You agree to comply with all laws, rules, and regulations applicable to your use of the Service. You must not interfere or disrupt the Service or servers connected to the Service.



Payment Terms and Taxes

1. Payment Terms. In consideration for the receipt of the Service and licenses and other consideration granted hereunder, Customer shall pay Toronto Technology Brothers Inc. the fees specified in the Order Form (the “Subscription Plan”), including any applicable money transfer, transaction or processing fees. Unless otherwise specified in the Subscription Plan, fees for the Services will be invoiced on an annual upfront or monthly basis. Hoppier reserves the right to change the Services fees on an annual basis by providing advance notice to Customer.


2. Credit Cards. Customer may be required to provide valid ACH details or Credit Card and billing information to Toronto Technology Brothers Inc for automatic billing. All ACH details and credit cards must be valid, authentic and Customer must be authorized to use them. If the charge is not authorized or accepted, Toronto Technology Brothers Inc. reserves the right to cancel the funds deposit or transfer without notice and with no further liability or obligation to you.


3. Invoicing and Payment of Taxes. Payment is due on receipt, prior to activation of the CallCow Platform. All charges and fees provided for in this Agreement are exclusive of and do not include any foreign or domestic governmental taxes or charges of any kind imposed by any federal, state, provincial or local government on the transactions contemplated by this Agreement, including without limitation excise, sales, use, property, license, value-added taxes, goods and services, harmonized, franchise, withholding or similar taxes, customs or other import duties or other taxes, tariffs or duties other than taxes that are imposed based on the net income of Customer. Any such taxes shall be the sole responsibility of Customer.


4.Overdue Payments. Any payment not received from Customer by the due date will accrue late charges at the rate of one percent (1.5%) of the outstanding balance per month, or the maximum rate permitted by law, whichever is higher, from the date such payment was due until the date paid.


5.Suspension of Service. If Customer account is overdue, in addition to any of its other rights or remedies, Hoppier reserves the right to suspend the Platform provided to Customer, until such amounts are paid in full or terminate the Service and this Agreement.



Termination

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.



Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least [number] days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
